The Board's role is to govern Fonterra on behalf of its shareholders and to promote and protect the interests of Fonterra.

In the 2024 election, there are two Elected Director positions available on the Board. From the conclusion of the 2024 Annual Meeting, the number of directors on Fonterra’s Board will reduce from 11 to nine. The current balance between Elected Directors and Appointed Directors will be maintained, with a composition of six Elected Directors and three Appointed Directors.

Shareholders have voting rights on the basis of their share-backed milksolids production.

 

Director Candidate Online Meetings

Shareholders can attend Director candidate online meetings where they can hear from the Candidates, gain a greater understanding of governance skills and attributes, and have the opportunity to ask questions.

The Co-operative Council represents the interests of all the supplying members of the Fonterra Co-operative, including shareholders, sharemilkers, contract milkers and farmers who supply milk to the Co-operative on a non-share backed basis such as through MyMilk. Its role and activities are very specific and defined in Fonterra's Constitution.

Shareholders have two votes each. Both votes may be used by the shareholder, or one may be given to a sharemilker. Votes are not weighted by milksolids production.

There will be elections in the following Wards this year.

The incumbent Councillors were unopposed in six Wards: Ward 1 (Northern Northland), Ward 2 (Central Northland), Ward 10 (Northern Bay of Plenty), Ward 13 (Central Taranaki), Ward 19 (Tasman/Marlborough), and Ward 22 (South Canterbury), so no elections are required in those Wards and those Councillors will return for another term. In Ward 21 (Central Canterbury) and Ward 25 (Western Southland) only one nomination was received, so those candidates are also elected unopposed and will start their term immediately after this year’s Annual Meeting.
